Terms and Conditions

Welcome to Teiztek Technologies. By accessing our website, services, or entering into a contractual agreement with us, you agree to comply with and be bound by the following Terms and Conditions. Please read them carefully before using our services.

1. Definitions
  • “Company,” “We,” “Us,” “Our” refers to Teiztek Technologies, an authorized SAP Business One partner.
  • “Client,” “You,” “Your” refers to any individual, business, or organization engaging with our services.
  • “Services” means ERP solutions, consulting, implementation, customization, integration, support, and any other offerings provided by Teiztek.
2. Scope of Services

Teiztek provides end-to-end SAP Business One ERP solutions including:

  • ERP consultation and business process re-engineering
  • SAP Business One licensing and implementation
  • Customization, integration, and system upgrades
  • Data migration and hosting (on-premise or cloud)
  • Technical support and training

All services are delivered based on mutually agreed project proposals, quotations, and contracts.

3. Client Responsibilities

By engaging Teiztek services, you agree to:

  • Provide accurate and complete business information necessary for project execution.
  • Ensure timely communication, approvals, and access to required resources.
  • Maintain proper hardware, network, and IT environment as recommended by Teiztek.
  • Use licensed software legally and in compliance with SAP’s licensing terms.
4. Payment Terms
  • All fees, payment schedules, and billing terms will be defined in the project agreement.
  • Payments must be made on time. Delayed payments may attract late fees or suspension of services.
  • Consultation, implementation, and support charges are non-refundable unless stated otherwise.
5. Intellectual Property
  • All SAP software and related products remain the intellectual property of SAP SE.
  • Custom solutions, integrations, and configurations developed by Teiztek remain Teiztek’s intellectual property unless otherwise agreed in writing.
  • Clients are granted non-transferable, non-exclusive rights to use deliverables strictly for their business purposes.
6. Confidentiality

Both parties agree to maintain confidentiality of sensitive business, financial, and technical data shared during the course of engagement. Confidential information will not be disclosed to third parties without prior written consent.

7. Limitation of Liability
  • Teiztek will not be liable for indirect, incidental, or consequential damages, including loss of profits or data.
  • Our liability is limited to the amount paid by the Client for the specific service causing the claim.
  • Teiztek is not responsible for failures caused by third-party systems, force majeure events, or misuse of the software by the Client.
8. Service Support
  • Teiztek provides technical support as per the agreed service-level agreement (SLA).
  • Response and resolution times may vary depending on the nature of the issue and service package chosen.
9. Termination

Either party may terminate the contract with prior written notice if:

  • The other party breaches any material terms and fails to remedy within 30 days.
  • Payments are not made as per agreed terms.
  • Insolvency, bankruptcy, or liquidation of either party occurs.

Upon termination, all outstanding payments must be cleared immediately.

10. Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of India, with exclusive jurisdiction in the courts of Kolkata, West Bengal.

11. Amendments

Teiztek reserves the right to update or modify these Terms and Conditions at any time. Updated terms will be posted on our website, and continued use of our services constitutes acceptance of changes.
